1. About Us
LaidOut.io ("LaidOut.io", "the Service") is a product owned and operated by Code Chisel ("we", "us", or "our"). These Terms & Conditions ("Terms") govern your access to and use of the Service. By creating an account or using the Service, you agree to be bound by these Terms.
2. The Service
LaidOut.io provides tools for creating shoppable image scenes with interactive hotspot overlays that can be embedded into third-party websites. The Service includes scene creation, hotspot configuration, image hosting, and an embeddable script for displaying scenes on external sites.
3. Account Registration
You must create an account to use the Service. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must provide accurate and complete information when registering.
4. Subscriptions and Pricing
The Service offers tiered subscription plans. Subscription fees are billed in advance on a recurring basis through our billing provider.
- Subscription plans, features, and limits are described on the billing page within the Service.
- Subscription prices are charged in United States Dollars (USD) unless stated otherwise. For customers in Australia, prices shown at checkout are GST-inclusive where GST applies.
- Any applicable GST, taxes, duties, or unavoidable fees will be calculated and disclosed at checkout and on the relevant receipt or tax invoice where required by law.
- Your bank, card provider, or payment provider may apply its own exchange rate, conversion fee, or foreign transaction fee. These charges are outside our control.
- We reserve the right to change pricing with reasonable notice. Price changes will take effect at the start of your next billing cycle.
- You may cancel your subscription at any time through the billing section of the Service. Cancellation takes effect at the end of the current billing period.
- Fees are non-refundable except where required by applicable law, including the Australian Consumer Law.
5. Plan Limits
Plans may include limits based on the number of active scenes, storage, usage, or features available to your account. If your account is unpaid, inactive, overdue, cancelled, or over its active scene limit, we may restrict access to paid features or disable hotspot overlays while continuing to display scene images where technically supported.
6. Your Content
You retain ownership of all images, hotspot data, and other content you upload or create through the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive, worldwide licence to host, store, process, reproduce, and display Your Content solely for the purpose of operating, securing, supporting, and improving the Service.
You are solely responsible for ensuring that you have the necessary rights to any content you upload, publish, or embed through the Service. We do not claim ownership of Your Content.
7. Embedded Use
You are responsible for how scenes and embeds are used on your websites and any third-party websites where you place them. You must ensure your use of the Service, including any links, product claims, images, tracking notices, and customer-facing content, complies with applicable laws and the policies of the websites where the embeds appear.
8. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- Upload content that is harmful, abusive, defamatory, or infringes on third-party rights.
- Upload malicious files, misleading links, or content designed to deceive users.
- Attempt to gain unauthorised access to the Service or its underlying systems.
- Use the Service to distribute malware, spam, or other harmful material.
- Reverse engineer, decompile, or otherwise attempt to extract the source code of the Service.
9. Intellectual Property
The Service, including its design, code, branding, and documentation, is the intellectual property of Code Chisel. Nothing in these Terms grants you any right to use our trademarks, logos, or brand names except as necessary to use the Service as intended.
10. Third-Party Services
The Service integrates with third-party providers including Clerk for authentication, Stripe for payment processing and subscription billing, and hosting infrastructure providers. Your use of these services may be subject to their respective terms and policies.
11. Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy that cannot be excluded, restricted, or modified under the Australian Consumer Law or any other applicable law.
12. Limitation of Liability
To the maximum extent permitted by law, Code Chisel shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Subject to any non-excludable rights or remedies, our total liability to you shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.
13. Disclaimer of Warranties
Subject to any non-excludable consumer guarantees, the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
14. Suspension and Termination
We may suspend or terminate your access to the Service at any time, with or without cause, including for non-payment, security risk, unlawful use, breach of these Terms, or repeated infringement complaints. Upon termination, your right to use the Service ceases immediately. We will make reasonable efforts to provide you with a copy of Your Content upon request within a reasonable period following termination, unless we are legally restricted from doing so or the content has already been deleted under our retention processes.
15. Governing Law
These Terms are governed by and construed in accordance with the laws of Queensland, Australia. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Queensland, Australia.
16. Changes to These Terms
We may revise these Terms from time to time. If we make material changes, we will notify you by posting the updated Terms on this page. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
